CONSTITUTION OF THE CENTURY CITY ATHLETIC CLUB
NAME
The name of the club shall be the Century City Athletic Club (“the Club”).
DEFINITIONS
Athletics means track and field, road running, race walking and cross-country running as recognised by Athletics South Africa (ASA).
ASA means Athletics South Africa or its successor in title.
Province/WPA means the provincial athletics body to which the Club is affiliated.
Club means the Century City Athletic Club duly constituted in terms of this Constitution.
Committee means the elected management committee of the Club.
Member means a member as defined in clause 7.
Day means a calendar day.
Notice means written notice delivered electronically or by ordinary post to the last address supplied and deemed received two days after dispatch.
Words importing the singular include the plural and vice versa; words importing any gender include all genders.
LEGAL STATUS
The Club is a voluntary association with legal personality and may acquire property, enter into contracts, and institute or defend legal proceedings. The Club continues notwithstanding changes in membership or Committee.
OBJECTIVES
To promote and develop athletics; encourage participation at all levels; provide coaching and training; represent members at all levels; and promote non-racialism and fairness.
POWERS AND MEANS
The Club may affiliate to ASA and provincial bodies; organise events; employ or contract personnel; and acquire assets necessary to achieve its objectives.
NON-PROFIT STATUS AND ASSETS
The Club operates on a non-profit basis. No Member has a personal claim on assets. Financial affairs shall be conducted through Club bank accounts. Conflicts of interest must be declared. Donations may not be revocable except for breach of conditions.
MEMBERSHIP
Any person subscribing to the objectives and rules may apply for membership. The Committee shall not unreasonably withhold approval. Membership lapses on non-payment. Life Membership may be awarded at an AGM or SGM by a two-thirds majority and is exempt from subscriptions.
GENERAL MEETINGS
General Meetings include AGMs and Special General Meetings. At least seven days’ notice is required. The Chairperson presides and has a deliberative and casting vote.
QUORUM AND VOTING
Quorum is fifteen Members; reconvened meetings require a minimum of ten. Voting is by show of hands unless a ballot is requested. No proxy voting is permitted.
ANNUAL GENERAL MEETING
The AGM is held annually and receives reports, elects the Committee, appoints an auditor, and considers duly submitted motions.
THE COMMITTEE
The Committee consists of Chairperson, Vice-Chairperson, Secretary, Treasurer, Development Officer, Club Captain(s), and additional Members as approved. Positions are honorary unless approved otherwise.
COMMITTEE MEETINGS
The Committee meets at least four times per year. Quorum is half the Committee. Decisions are by simple majority.
DISCIPLINE
The Committee may suspend, fine or expel Members for misconduct. Members may appeal internally and to affiliated bodies before legal action.
SUBSCRIPTIONS
Subscriptions are approved by a General Meeting. Members in arrears are not in good standing.
FINANCIAL MATTERS
The financial year runs from 1 March to 28 February. An auditor is appointed annually. Funds are used solely for Club objectives.
CLUB COLOURS
The Club colours are dark yellow (gold) with horizontal black side stripes.
RULES AND REGULATIONS
The Committee may make rules consistent with this Constitution, which must be communicated to Members and may be overturned by a General Meeting.
AMENDMENT OF THE CONSTITUTION
Amendments require seven days’ notice and a two-thirds majority at a General Meeting and must be recorded and submitted to SARS.
DISSOLUTION
Upon dissolution, remaining assets shall be transferred to a similarly aligned non-profit organisation approved under section 30 of the Income Tax Act.
